Payment
A deposit of 50% of the total engagement fee is due on signing of this Statement of Work. Work commences upon receipt of the deposit. The remaining 50% is due upon completion of the primary deliverable for each service. For the Monthly Retainer, the first month's fee is due on signing and subsequent invoices are issued monthly. Invoices are payable within 7 days of issue via Xero. Syrgas reserves the right to pause work if an invoice remains unpaid beyond 14 days.
Intellectual property
All work product produced by Syrgas under this engagement remains the property of the client upon receipt of full payment. Syrgas retains the right to reference the engagement type — not client-specific details — in its own marketing materials unless the client requests otherwise in writing.
Confidentiality
Both parties agree to treat all information shared during this engagement as confidential. Syrgas will not share client business information, performance data, or commercial details with any third party without written consent. This obligation survives termination of the engagement.
Access and dependencies
The client agrees to provide all required access, information, and approvals within 5 business days of request. Delays caused by late access or information provision may extend the engagement timeline at no additional cost to the client.
Scope changes
Any work outside the scope defined in this Statement of Work must be agreed in writing before it is undertaken. Syrgas will provide a written scope change estimate and obtain written approval before proceeding.
Performance guarantee — Pilot Implementation only
Where a Pilot Implementation is included, a primary KPI target is agreed before work begins. If that target is not met at Day 30, the client chooses between a free 30-day extension or a 50% refund of the Pilot Implementation fee.
Termination
Either party may terminate with 14 days written notice. If the client terminates after work has commenced, the deposit is non-refundable. Syrgas will invoice for all work completed to the date of termination. For the Monthly Retainer, 30 days written notice is required after the minimum term.
Governing law
This agreement is governed by the laws of Victoria, Australia. Both parties agree to attempt mediation before initiating legal proceedings.
Electronic execution
This document is executed electronically. A signed electronic copy is legally binding under the Electronic Transactions Act 1999 (Cth). The client's typed name and confirmation checkbox constitute their electronic signature.
